Agreement to Terms

By accessing or using Newaysoft's website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

Services Description

Newaysoft provides software development services, including but not limited to:

• Custom software development for enterprises and individuals
• SaaS application development and deployment
• Mobile application development for iOS and Android
• Desktop application development
• AI-powered software solutions
• Industrial equipment software development

Use License

Permission is granted to temporarily access the materials on Newaysoft's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or public display
• Attempt to decompile or reverse engineer any software contained on our website
• Remove any copyright or proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

Project Engagement Terms

Proposals and Quotes

All project proposals and quotes provided by Newaysoft are valid for 30 days from the date of issuance unless otherwise specified. Quotes are based on the information provided by the client and may be subject to change if project requirements are modified.

Project Timeline

Project timelines are estimates based on the scope of work agreed upon. Delays caused by client feedback, requirement changes, or third-party dependencies may affect the delivery schedule.

Payment Terms

Payment terms will be specified in individual project agreements. Typically, projects require an initial deposit before work begins, with milestone-based payments or final payment upon completion.

Intellectual Property Rights

Client-Owned Work

Upon full payment, clients receive ownership of custom-developed software created specifically for their project, excluding any pre-existing code, libraries, or frameworks used in development.

Newaysoft Products

All intellectual property rights in Newaysoft's own products (BugDone, Hourbell, LinkyCloud, etc.) remain the exclusive property of Newaysoft. Use of these products is governed by their respective license agreements.

Portfolio Rights

Newaysoft reserves the right to showcase completed projects in our portfolio unless a non-disclosure agreement specifies otherwise.

Confidentiality

We respect the confidentiality of all client information and project details. We will not disclose any confidential information to third parties without client consent, except as required by law or as necessary to complete the project.

Warranties and Disclaimers

Newaysoft warrants that services will be performed in a professional and workmanlike manner. However:

• We do not guarantee that our services will be uninterrupted or error-free
• We are not responsible for issues arising from third-party services or platforms
• Software is provided "as is" unless otherwise specified in a service agreement
• We do not warrant that software will meet all client expectations unless explicitly documented in project requirements

Limitation of Liability

To the maximum extent permitted by law, Newaysoft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

Support and Maintenance

Post-launch support and maintenance services are available and will be outlined in separate service agreements. Bug fixes for issues present at the time of delivery are typically covered for a specified warranty period.

Termination

Either party may terminate a project engagement with written notice. Upon termination, the client is responsible for payment for all work completed up to the termination date. Newaysoft will deliver all completed work upon receipt of payment.

Changes to Requirements

Changes to project requirements after work has begun may result in additional costs and timeline adjustments. All change requests must be documented and approved by both parties before implementation.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Newaysoft operates, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes may be resolved through binding arbitration or in the courts of competent jurisdiction.

Changes to Terms

Newaysoft reserves the right to modify these Terms of Service at any time. We will notify users of any material changes by posting the new terms on this page and updating the "Last updated" date. Your continued use of our services after changes constitutes acceptance of the new terms.

Severability
